Operations and maintenance (O&M) contracts are the single most important document governing the long-term health of a solar asset. A poorly written O&M agreement can leave an owner exposed to production losses, warranty gaps and unexpected capital costs. A well-negotiated contract, by contrast, locks in performance guarantees, defines clear response obligations and distributes risk appropriately between owner and service provider.
Scope of services: what a full-scope O&M contract covers
Solar O&M contracts range from basic preventive maintenance to fully comprehensive agreements that include performance guarantees and 24/7 remote monitoring. At minimum, a full-scope contract should include:
- Preventive maintenance: scheduled cleaning, visual inspection, thermal imaging, torque checks, inverter filter replacement and ground system verification — typically quarterly or biannual
- Corrective maintenance: reactive repairs to failed components including inverters, string combiner boxes, monitoring hardware and string-level faults
- Remote monitoring: continuous SCADA/monitoring platform access with alarm response protocols and monthly production reports
- Vegetation management: shading control around ground-mount arrays
- Warranty management: filing and tracking claims on manufacturer warranties for panels, inverters and BESS
- Annual performance report: production vs. P50/P90, degradation analysis, recommendations
Many contracts split "scheduled O&M" from "corrective maintenance" with separate pricing — scheduled O&M is a fixed annual fee, while corrective work may be time-and-materials or capped. Understand what is and is not included in each bucket before signing.
Performance guarantees: PR ratio vs. energy yield guarantee
The strongest performance guarantee is an energy yield guarantee expressed in kWh/year, with liquidated damages if actual generation falls below the guaranteed level. This is more client-friendly than a Performance Ratio (PR) guarantee because it accounts for irradiance variations through the use of a reference meteorological dataset.

Best practice: combine a PR guarantee ≥ 80% with an availability guarantee ≥ 98%, calculated on a monthly basis with annual true-up, and explicit LD (liquidated damages) for underperformance in the range of 0.5–1.5× the revenue value of the shortfall.
Response time SLAs
Define response times for different fault categories:
- Critical (full system outage): remote response within 2 hours; on-site within 24–48 hours
- Major (>20% capacity loss): remote response within 4 hours; on-site within 72 hours
- Minor (single string/inverter fault): acknowledge within 8 hours; schedule repair within 5 business days
- Maintenance items: address at next scheduled visit
SLAs should specify whether "response" means acknowledgement or resolution, and what happens during force majeure events (extreme weather, supply chain delays for parts).
Exclusions and grey areas to clarify
Common exclusions that catch owners off guard:
- Grid curtailment losses: production losses due to grid operator curtailment are almost always excluded from performance guarantees
- Panel cleaning: some contracts exclude cleaning or limit it to a set number of visits per year
- Module replacement: physically replacing failed panels may be excluded from corrective O&M scope (covered by manufacturer warranty, but the O&M provider will only facilitate the claim, not fund the replacement)
- BESS O&M: battery storage often has a separate O&M scope with different pricing — confirm whether the inverter O&M contract extends to the BESS
- Cyber security / SCADA updates: firmware upgrades and cyber security patching may be out of scope
Pricing models
Three common O&M pricing structures:
- Fixed $/kWp/year: simplest model; typical range $10–25/kWp/year for ground-mount, $15–35/kWp/year for commercial rooftop depending on market and scope
- Fixed + variable: fixed fee for scheduled O&M + time-and-materials rate card for corrective work; balances risk between owner and provider
- Revenue share: O&M provider earns a percentage of generation revenue above a baseline; aligns incentives but complex to administer
Escalation clauses: ensure the annual price escalation is capped (e.g., CPI + 2%) and that labour rate escalations for time-and-materials work are similarly bounded.
Key contract red flags
- No performance guarantee — only a "best efforts" obligation
- Exclusion for "equipment over 10 years old" inserted in a 20-year contract
- Force majeure clause so broad it excuses performance for routine weather events
- No step-in rights for the owner to bring in a replacement O&M provider if SLAs are persistently missed
- Automatic renewal clauses with 90-day notice periods — easy to miss
- All disputes go to arbitration in the O&M provider's home jurisdiction
