Acquiring, financing, or re-powering a solar asset without rigorous technical due diligence is one of the most reliable ways to overpay for an underperforming plant. A structured independent engineer review — covering equipment condition, electrical design, civil integrity, grid connection terms, and O&M obligations — is the single document that separates an informed transaction from an expensive one.

When Technical Due Diligence Is Required

Technical due diligence (DD) is not just for acquisitions. It is required — or strongly advisable — across a range of transaction and operational scenarios:

Scope ranges from a desktop review — reviewing as-built drawings, warranty documents, SCADA data, and O&M reports without a site visit — to a full independent engineer report with one or more site visits, EL imaging, and equipment testing. Equipment Review Checklist

Civil and Structural Review

Civil and structural condition is frequently underweighted in desktop reviews but accounts for a disproportionate share of O&M costs and revenue losses when defects are present. A thorough civil review covers six areas:

Electrical Design and Performance Review

Performance analysis should be driven by at least 12 months of SCADA or monitoring data — longer where seasonal variation is significant. The key benchmarks and checks are:

First, verify as-built drawings against the installed configuration. String counts, combiner box positions, inverter cable runs, and metering points should all match the as-built single-line diagram. Discrepancies between design and installation are a common source of undetected underperformance.

Review performance ratio (PR) data from the monitoring system. A well-operating mono-crystalline plant should sustain PR above 80% over the measurement period after normalising for irradiance and temperature. PR between 70–80% warrants investigation; below 70% indicates equipment faults, significant shading growth, or systematic soiling.

Check string-level performance using IV curve tracing or electroluminescence (EL) imaging to identify underperforming strings. A single failed string diode or degraded module string can suppress output across an entire MPPT channel without triggering a system-level alarm. Review inverter alarm logs for recurring faults — repeated earth fault, insulation resistance, or MPPT errors are indicators of systemic wiring or module issues rather than isolated events.

Finally, verify meter calibration and confirm that revenue-grade grid meters carry intact calibration seals. Meter drift or tampering is a revenue risk in acquired assets and a lender requirement in project finance transactions.

Grid Connection Review

The grid connection agreement governs the commercial and technical terms under which the plant exports power and bears obligations that survive an asset sale. Key review items include:

O&M Contracts and Long-Term Obligations

An operating solar asset's value depends not just on its physical condition but on the contractual framework governing its maintenance and revenue. A complete O&M contract review covers three areas:

O&M contract scope and terms: Confirm whether the existing contract covers both corrective and preventive maintenance or corrective only. Review response time commitments — a 48-hour response time for a fault causing full plant outage is commercially material. Check liquidated damages provisions for plant availability shortfalls and confirm the contracted availability floor (typically 97–98% for a well-structured O&M contract). Review panel cleaning frequency and inverter preventive maintenance intervals against manufacturer recommendations.

Equipment warranties: Map remaining warranty terms for all major components. Solar panels typically carry a 10–30 year product warranty and a 25–30 year power output warranty. Inverters carry a 5-year standard warranty extendable to 10–20 years under a service contract. BESS typically carries a 10-year warranty with defined RTE and cycle guarantees. Confirm that warranty assignments to the buyer are permitted — some manufacturer warranties are non-transferable without notification.

Revenue-side obligations: Review any feed-in tariff (FiT) agreement, power purchase agreement (PPA), or corporate PPA attached to the asset. Confirm the tenor, pricing mechanism, curtailment provisions, and change-of-control requirements. A PPA with a change-of-control clause requiring offtaker consent can materially affect transaction timeline and certainty.

Technical due diligence, done properly, is not a cost — it is price discovery. Every red flag resolved before signing either adjusts the purchase price downward or gives the buyer a contractual remedy that a post-closing discovery would not.
